Licensing of National Indoor Comfort Week Name and Logo

We're glad to let you use the "National Indoor Comfort Week" name and logo to promote the week in your local communities, and encourage you to do so! However, there are some rules to follow. "National Indoor Comfort Week" is a registered trademark of the Air Conditioning Contractors of America, and ACCA also owns the copyright to the logo.

The full license follows. Basically, you are allowed and encouraged to use the name and logo for your own use in your printed materials, advertisements, and website; however, you cannot sell the logo or sell items that have the logo on it. LICENSE AGREEMENT FOR USE OF
ACCA’s “NATIONAL INDOOR COMFORT WEEK” LOGO

This is a legally binding License Agreement (“Agreement”) between you and the Air Conditioning Contractors of America, Inc. (“ACCA”) for use of ACCA’s National Indoor Comfort Week® logo (“Logo”). The Logo is the property of the ACCA, located at 2800 Shirlington Road, Suite 300, Arlington, Virginia 22206. By accepting, copying, downloading, installing, and/or using this logo, you are agreeing to be bound by the terms of this Agreement.

Grant of License; Terms and Conditions
ACCA grants to you the nonexclusive, limited and nontransferable right, during the term of this Agreement, to use the Logo, for your own use and that of your company. You and your company may use the Logo in print or on the Internet for promotional items including brochures and gifts; you may not, however, sell the use of the Logo or use the Logo to sell any items on which it is copied/printed/installed/downloaded. Copyrights and Trademarks
The attached logo is the sole and exclusive property of ACCA. The logo may be used only by you and your company if and only if such use is made pursuant to the terms and conditions of this limited and revocable license. Any failure by a user to comply with the terms and conditions contained herein may result in the immediate revocation of this license, in addition to any other sanctions imposed by ACCA. The interpretation and enforcement (or lack thereof) of these terms and conditions, and compliance therewith, shall be made by ACCA in its sole discretion.

Restrictions
The logos may not be used in any manner that, in the sole discretion of ACCA: discredits ACCA or tarnishes its reputation and goodwill; is false or misleading; violates the rights of others; violates any law, regulation or other public policy; or mischaracterizes the relationship between ACCA and the user, including but not limited to any use of the logos that might be reasonably construed as an endorsement, approval, sponsorship, or certification by ACCA of the user, the user’s business or organization, or the user’s products or services, or that might be reasonably construed as support or encouragement to purchase or utilize the user’s products or services Use of the logos shall create no rights for users in or to the logos or their use beyond the terms and conditions of this limited and revocable license. The logos shall remain at all times the sole and exclusive intellectual property of ACCA. ACCA shall have the right, from time to time, to request samples of use of the logos from which it may determine compliance with these terms and conditions. Without further notice, ACCA reserves the right to prohibit use of the logos if it determines, in its sole discretion, that a user’s logo usage, whether willful or negligent, is not in strict accordance with the terms and conditions of this license, or otherwise could discredit ACCA or tarnish its reputation and goodwill.

Term and Termination
This Agreement is effective until terminated. You may terminate this Agreement at any time by discontinuing use of the Logo. ACCA has the right to terminate this Agreement immediately if you fail to comply with any term or condition of this Agreement. Upon any termination, you must cease use of the Logo, and all restrictions indicated above will remain in effect.

Governing Law
All questions with respect to the construction, performance and enforcement of this Agreement, and the rights and liabilities of the parties hereunder, shall be determined in accordance with the laws of the Commonwealth of Virginia, United States of America. Any legal action taken or to be taken by either party regarding this Agreement or the rights and liabilities of you or ACCA hereunder shall be brought only before a federal, state or local court of competent jurisdiction located within the Commonwealth of Virginia. You hereby consent to, and agree not to contest, the jurisdiction of the federal, state and local courts located within the Commonwealth of Virginia.

Acknowledgement
By accepting, copying, downloading, installing, and/or using the National Indoor Comfort Week logo, you acknowledge that you have read this Agreement, understand it, and agree to be bound by its terms and conditions. You also agree that this is the complete and exclusive statement of agreement between you and ACCA and supercedes all proposals or prior agreements, written or oral, and any other communication between you and ACCA relating to the subject matter of this Agreement.
